Terms of Service - ICAN Campus Basic Plan
Effective Date: June 1, 2025
1. SERVICES PROVIDED
ICAN grants the ICAN Campus Client (hereinafter “Client”) access to the following services under the ICAN Basic Plan:
a. Branded Deal Room (Powered by Dealum)
Client is entitled to:
• One online Branded Deal Room hosted on the Dealum platform.
• Ability to host up to 1,000 company applicants and up to 25 alumni, booster, and supporter members (excluding administrators), and up to 50 student interns in the Branded Deal Room.
b. ICAN Services Room
All Clients will have access to the ICAN Services Room within Dealum, which includes:
• Educational content on angel investing, deal structuring, due diligence, and valuation.
• Templates and resources for managing a venture deal room.
Any updates to the Dealum platform or ICAN Services Room will be automatically included under this Agreement.
c. ICAN Website Resources
ICAN is constantly working to enhance its value to ICAN Campus Clients. Its website includes resources such as white papers, online courses, and the “Why Should I Invest?” podcast. In addition, Clients and their members will receive invitations to all ICAN Investor Days and other events as they are scheduled.
2. RELATED SERVICES
a. Onboarding
ICAN and Dealum will provide a basic onboarding package that includes:
• A kickoff meeting to introduce the Client’s administrator to the Dealum platform and ICAN Services Room.
• Access to ongoing instructional materials for managing the Deal Room effectively.
b. Ongoing Support
The ICAN Basic Plan is primarily self-managed. However:
• Client may contact ICAN support with questions or technical issues.
• ICAN will respond to all reasonable requests within three (3) business days.
3. CLIENT LOGO
Client agrees to:
• Provide ICAN with an official logo for branding purposes.
• Permit ICAN to use this logo for the Client Deal Room, login pages, and promotional materials related to this Agreement.
4. FEES & PAYMENT TERMS
​•â€‹Annual Subscription Fee: $1,299
​•â€‹Term: One year from payment date
​•â€‹ICAN reserves the right to adjust the annual fee with at least 30 days’ notice.
5. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by the laws of the State of Texas. Any disputes shall be resolved in the courts located in Harris County, Texas, to whose jurisdiction the Parties irrevocably submit.
